Terms of Service
Simple terms, plainly stated.

1. Acceptance
By creating an account or using OnePile ("Service"), you agree to these Terms of Service. If you are using the Service on behalf of a brokerage, you represent that you have authority to bind the brokerage to these terms.
2. The service
OnePile is a transaction management tool for real estate professionals. It helps organize documents, track deadlines, manage e-signatures, and communicate with parties in a transaction. It is not a licensed real estate brokerage, attorney, or financial advisor. You remain solely responsible for the legal and professional aspects of each transaction.
3. Accounts
You must be a licensed real estate professional or authorized brokerage staff to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
Brokerage admins are responsible for managing agent access within their brokerage and for ensuring agents comply with these terms.
4. Subscriptions and billing
The Service is available on a subscription basis: Agent Plan ($29.99/month) and Team Plan ($200/month). Subscriptions begin with a 14-day free trial. After the trial, your selected plan renews automatically on a monthly basis unless canceled.
All billing is processed by Stripe. You may cancel at any time from the billing portal in Settings. Cancellation takes effect at the end of the current billing period — no partial refunds are issued for unused portions of a subscription month.
We reserve the right to change pricing with 30 days' notice. Price changes will not affect active subscriptions until their next renewal.
5. Your content
You retain ownership of all documents, data, and content you upload to the Service ("Your Content"). By uploading Your Content, you grant OnePile a limited license to store, process, and transmit it solely for the purpose of providing the Service.
You are responsible for ensuring you have the right to upload and share all content you submit. You must not upload content that infringes third-party rights or violates applicable law.
6. Acceptable use
You may not use the Service to:
- —Violate any applicable law or regulation, including NY real estate licensing requirements.
- —Transmit unauthorized personal data or data belonging to parties without consent.
- —Attempt to reverse engineer, scrape, or circumvent technical controls.
- —Use automated systems to send bulk communications without authorization.
- —Impersonate another person or entity.
7. E-signatures
The Service integrates with DocuSign to facilitate electronic signatures. E-signatures facilitated through the Service are governed by the Electronic Signatures in Global and National Commerce Act (ESIGN) and the NY Electronic Signatures and Records Act (ESRA). OnePile does not provide legal advice on the enforceability of any specific signature in any specific transaction. Consult your attorney for guidance on individual transactions.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS." TO THE FULLEST EXTENT PERMITTED BY LAW, ONEPILE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee that the Service will be uninterrupted or error-free. Document classification, deadline calculations, and AI-generated summaries are provided for informational purposes only and should not be relied upon as legal or professional advice.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONEPILE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING LOSS OF COMMISSION, LOSS OF DATA, OR LOSS OF BUSINESS OPPORTUNITY. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM.
10. Termination
You may cancel your account at any time from Settings. We may suspend or terminate accounts that violate these terms, with or without notice depending on severity. Upon termination, your data is retained for 30 days per our Privacy Policy, then deleted.
11. Governing law
These terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts of Nassau County, New York.
12. Changes to these terms
We may update these terms from time to time. Material changes will be communicated by email at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the updated terms.
